I registered a non-stock corporation under the Virginia commerce commission on 11/14/2021, it was a simple process and done completely online. The portal offers a dashboard with all my documents including a certificate, receipt and links to upload auxiliary documents like corporate constitution, board papers, and other legalities.
Total Cost: $75
Registration Fee: $25
Naming Fee: $50
Later today I obtained an EIN (tax ID) from the IRS which is free and allows me to open bank accounts and take out business credit/loans under the company’s name. It’s a holding company and I decided to name it Typhoon Holding Company (Typhoon) for short, which I plan to use as an umbrella company to oversee the rest of my enterprises. Also considering registering one either here in Colombia if permissible, or somewhere outside the US. This could facilitate tax breaks, the opportunity of a citizenship based on investments, a different legal landscape and a guarantee to secure a foreign loan and or credit for my start-ups, as well as personally getting acquainted with a foreign market.
I spent some time drawing logos today on Illustrator and saved a couple of drafts, I decided to go with red and black and settled for this format:
After finding a permanent residence in Colombia, I should resume work on my video game studio Black Dot, from which I plan on releasing Tombo as a video game and carton series. I already have a backbone and structure and patented the series last year; two years in quarantine served as an incubator for a backstory, many new characters drawn by my hand, and R&D that I want to apply to turn it into a best seller. Black Dot Studios will be entirely owned by Typhoon Holdings as a means to save time and energy on paperwork and to keep a clean business structure.
I am yet to turn Bdots into a legal entity but I'd like to have an established business and creative flow before I do so. I already purchased four related domain names and researched publishing platforms and pricing.
